Website Purchase Terms

KNOVA Enterprises, LLC - Terms and Conditions for Service Provider Subscriptions
PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN SUBSCRIPTIONS PURCHASED FROM KNOVA, NOT SERVICES PURCHASED FROM AN INDEPENDENT PROVIDER. THEY INCORPORATE THE USER SOFTWARE-AS-A-SERVICE AGREEMENT, INCLUDING ITS LIABILITY LIMITATIONS AND SECTION 13 ARBITRATION AND CLASS ACTION WAIVER, SUBJECT TO EXCEPTIONS AND A 30-DAY OPT-OUT RIGHT.
BY AFFIRMATIVELY ACCEPTING THESE TERMS AT CHECKOUT, YOU AGREE TO THESE PURCHASE TERMS AND THE USER SOFTWARE-AS-A-SERVICE AGREEMENT PRESENTED WITH THEM. IF YOU ACT FOR A SERVICE PROVIDER OR OTHER ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY. YOUR SUBSCRIPTION IS FOR KNOVA’S PLATFORM FEATURES, NOT A GUARANTEE OF CUSTOMERS, JOBS, OR REVENUE.
YOU MAY NOT SUBSCRIBE IF YOU DO NOT ACCEPT THESE TERMS AND THE USER SOFTWARE-AS-A-SERVICE AGREEMENT, ARE UNDER EIGHTEEN (18) OR OTHERWISE LACK LEGAL CAPACITY, LACK AUTHORITY TO ACT FOR THE SUBSCRIBER, OR ARE PROHIBITED BY LAW FROM USING THE PLATFORM.

These Website Purchase Terms (Service Provider Subscriptions) (“Purchase Terms” or “Terms”) govern purchases of subscriptions to the KNOVAlocal platform at www.knovalocal.com (the “Site” or “Platform”) from Knova Enterprises, LLC, a Florida limited liability company (“KNOVA,” “we,” “us,” or “our”). A purchasing Service Provider is a “Subscriber” or “you.” The User Software-as-a-Service Agreement (“User SaaS”), Website Terms of Use, and Privacy Policy are linked from the Site and presented as applicable before acceptance. These Terms do not govern any work, goods, payments, or customer contract between a Service Provider and an Inquirer; KNOVA is not a party to those transactions. Changes apply to subsequent purchases or renewals only after legally sufficient notice and acceptance where required. No posting alone changes a current paid term or an accepted arbitration agreement. See Sections 3, 10, and 16.

1

Order Acceptance

Your order is an offer to purchase the disclosed subscription under these Terms. KNOVA accepts when it confirms acceptance or activates the purchased access. An order-receipt acknowledgment alone is not acceptance. If KNOVA rejects an order or cannot provide the subscription before activation, it will not charge you and will refund any amount already collected. KNOVA may reject an order for a legitimate eligibility, payment, legal, or security reason.

2

Prices and Payment Terms

The plan, included features, price, billing interval, subscription term, and applicable taxes are those clearly disclosed at checkout and confirmed in your order. You authorize charges only for the subscription and any renewal expressly authorized under Section 3. Payment methods are those offered at checkout; KNOVA may use a third-party payment processor. You represent that your billing information is accurate and you are authorized to use the payment method. Unless otherwise stated at checkout, fees are payable in advance. Fees are for Platform access and listing features, regardless of inquiries, jobs, customer payments, or revenue. KNOVA will not retroactively increase a paid term’s price or charge an undisclosed amount. A material pricing error requires notice and your agreement to the corrected price, or cancellation and refund, before the corrected charge. Promotional terms apply only as disclosed and accepted. You remain responsible for valid unpaid charges; nonpayment may result in suspension after notice and a reasonable opportunity to correct the failure, unless immediate action is needed for fraud or unauthorized payment.

3

Activation; Subscription Term; Renewal

Access begins when KNOVA activates the subscription, subject to any different start date disclosed at checkout. A subscription expires at the end of its stated term unless automatic renewal is clearly disclosed and you separately affirmatively authorize the recurring charges before purchase. For an authorized auto-renewing plan, KNOVA will disclose the renewal interval, recurring price or clearly stated pricing basis, next charge timing, and cancellation method before obtaining consent, and will provide a retainable confirmation. Renewal then occurs for the disclosed interval until canceled before the next charge. KNOVA will provide at least thirty (30) days’ advance notice of a renewal price increase or material subscription change and any additional trial-ending or renewal reminder required by law, including a longer or specifically timed notice when required. You may cancel before the change takes effect; KNOVA will obtain further consent where required. A free trial converts to paid access only if the duration, later price, charge timing, and cancellation deadline were disclosed and you affirmatively authorized the conversion. Otherwise the trial expires without a charge. No minimum term, automatic renewal, or trial conversion applies unless disclosed and accepted.

4

Cancellation and Refunds

You may cancel renewal at any time through the online cancellation method made available with your subscription or by emailing support@knovalocal.com with sufficient information to identify the subscription. KNOVA will provide a simple online cancellation method for online subscriptions as required by law, will not require a telephone call or account deletion, and will confirm cancellation in a retainable form. A cancellation request sent before a renewal charge prevents that charge; KNOVA will refund a charge made after a timely request. Unless law or the accepted offer requires otherwise, cancellation is effective at the end of the current paid term, with access through that term and no refund for voluntary early cancellation, nonuse, or lack of leads or jobs. If KNOVA terminates a paid subscription without your material breach, permanently discontinues its paid features, or materially reduces the purchased features and you elect to cancel rather than accept the reduction, it will refund the unused prepaid portion on a prorated basis. If KNOVA materially breaches its subscription obligations and does not cure within thirty (30) days after written notice, you may terminate and receive that unused prepaid portion, without limiting nonwaivable remedies. Refunds required by law remain available. Closing an account also cancels future renewal but does not create a refund for a completed or partially used term except as stated here. Suspension for your material breach does not excuse valid accrued fees.

5

Warranties and Disclaimers

KNOVA provides directory and connection technology, not the services or work offered by Subscribers. Listing availability, search placement, or a paid subscription does not constitute endorsement or certification. Providers and Inquirers remain solely responsible for their own selection, negotiations, contracts, work, payments, and disputes. The User SaaS describes their obligations and KNOVA’s limited role.

EXCEPT FOR KNOVA’S EXPRESS UNDERTAKINGS AND NONWAIVABLE LEGAL REQUIREMENTS, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KNOVA DOES NOT GUARANTEE INQUIRIES, EXCLUSIVITY, SEARCH RANKING, PROVIDER OR CUSTOMER SUITABILITY, JOBS, CONVERSION RATES, PAYMENTS, OR REVENUE.
THE DISCLAIMERS AND LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW AND DO NOT ELIMINATE EXPRESS SUBSCRIPTION OR REFUND OBLIGATIONS. A SERVICE PROVIDER’S WORK, WARRANTIES, AND CUSTOMER OBLIGATIONS ARE ITS OWN, NOT KNOVA’S. DIRECT DEALINGS OUTSIDE THE PLATFORM ARE PERMITTED, AND NO SUBSCRIPTION FEE DEPENDS ON KEEPING A PROVIDER-INQUIRER TRANSACTION ON THE PLATFORM.
6

Limitation of Liability

The allocations of responsibility, third-party-claim release, damages exclusions, and exceptions in Sections 2.2 and 11 of the User SaaS apply to the subscription and are incorporated here. “KNOVA Parties” has the meaning stated in that Agreement.

TO THE FULLEST EXTENT PERMITTED BY LAW, KNOVA AND THE KNOVA PARTIES ARE NOT LIABLE FOR LOST PROFITS, REVENUES, GOODWILL, BUSINESS OPPORTUNITY, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THEORY, INCLUDING NEGLIGENCE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COLLECTIVE AGGREGATE LIABILITY OF KNOVA AND THE KNOVA PARTIES ARISING OUT OF OR RELATING TO THE WEBSITE, PLATFORM, SUBSCRIPTIONS, OR THE APPLICABLE KNOVA TERMS, UNDER ANY LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID DIRECTLY TO KNOVA FOR THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. AMOUNTS PAID TO SERVICE PROVIDERS DO NOT COUNT TOWARD THIS LIMIT. THIS IS ONE AGGREGATE LIMIT ACROSS THE APPLICABLE KNOVA TERMS, NOT A SEPARATE LIMIT FOR EACH DOCUMENT OR CLAIM.

No disclaimer, release, indemnity, or liability limitation excludes KNOVA’s liability for its own fraud, gross negligence, willful misconduct, or any liability or remedy that cannot lawfully be excluded or limited. The cap does not reduce an express obligation to refund subscription fees under Section 4. The applicable statutory limitations periods are not shortened.

7

Permitted Business Use; No Provider Transactions

The subscription is for the identified Service Provider’s own authorized business use of the Platform, including its profile and responses to inquiries. It may not be resold or transferred except as allowed by the User SaaS. A Subscriber is an independent service business, not KNOVA’s employee, agent, or contractor for customer work. KNOVA does not collect, hold, or guarantee payments for that work and has no obligation to enforce a provider’s customer agreement.

8

Privacy and Communications

The Privacy Policy at www.knovalocal.com/privacy describes subscription, billing, and other information processing. Transactional messages may be sent to administer your order, billing, renewal, or cancellation. Providing a phone number or purchasing a subscription is not, by itself, consent to marketing calls or texts; legally required marketing consent will be obtained separately.

9

Force Majeure

We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, telecommunications breakdown or power outage. This provision does not excuse payment of valid accrued fees, legally required notices or refunds, or the termination rights under Section 14.10 of the User SaaS.

10

Mandatory Binding Arbitration and Class Action Waiver

Section 13 of the User SaaS, presented with these Terms for acceptance at checkout and incorporated by reference, exclusively governs dispute resolution for these Terms and your subscription. It includes the Federal Arbitration Act, a thirty-day informal notice process, individual AAA arbitration, applicable consumer protections, court determination of arbitrability, small claims and intellectual property exceptions, and a thirty-day right to opt out. It does not impose arbitration between a provider and its customer. No inconsistent arbitration terms are created by this document.

To Opt Out. Follow Section 13.9 of the User SaaS by emailing support@knovalocal.com with the subject “ARBITRATION OPT-OUT” within thirty (30) days after first accepting a KNOVA arbitration agreement or receiving notice of a material arbitration change. Include your name, contact information, account email if any, and statement of opt-out. An effective prior opt-out remains effective across the KNOVA documents unless separately expressly withdrawn in writing; purchasing a subscription alone does not withdraw it.

If you validly opt out, or a dispute is not subject to arbitration, the governing-law and forum provisions in Section 14.14 of the User SaaS apply, subject to its small claims and nonwaivable-law exceptions. Material arbitration amendments are subject to Section 13.10 of the User SaaS, not an automatic change by website posting.

11

Assignment

You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 11 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

12

No Waivers

The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of KNOVA Enterprises, LLC.

13

No Third-Party Beneficiaries

These Terms benefit KNOVA and you and your permitted successors and assigns. KNOVA Parties may enforce the protections expressly granted to them. No Service Provider or Inquirer receives a right under these Terms to enforce or alter the other’s work agreement.

14

Notices

To You. KNOVA will send order, renewal, price-change, and cancellation notices to your current account email or another method you designate as permitted by law. Notices required individually will not be given solely by posting to the Site. Notices are effective on receipt, subject to the more specific timing and delivery requirements of these Terms and applicable law. Keep your contact information current.

To Us. Send notices, cancellation requests, and billing questions to support@knovalocal.com. Include sufficient information to identify the account or subscription. A timely cancellation is governed by Section 4; other notices are effective upon receipt. This Section does not waive legally required service of process.

15

Severability

If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

16

Entire Agreement

A separate written agreement signed by KNOVA and you controls only to the extent it expressly modifies the applicable terms. The checkout or order confirmation controls the subscription plan, price, billing interval, and term expressly stated there, but does not otherwise override the legal terms. The Website Purchase Terms (Service Provider Subscriptions) govern subscription billing, renewal, cancellation, and refunds; the User Software-as-a-Service Agreement governs registered account and Platform use and disputes with registered Users; and the Website Terms of Use govern public Website use. The Privacy Policy describes the processing of personal information. No document authorizes a use or disclosure of personal information contrary to that Policy or applicable law. The liability limits under these documents are a single aggregate limit, not separate or cumulative limits. The accepted order, these Purchase Terms, the User SaaS, the Website Terms of Use, and the Privacy Policy form the complete agreement on their respective subjects. Section 13 of the User SaaS exclusively governs subscription disputes.
